ASCRE K.K. - Terms of Use

By accessing or using this website, application, or any associated services ("Software"), you agree to be bound by these Terms of Use ("Terms"). These Terms constitute a binding agreement between you and ASCE K.K. ("the Company", "we", "our", or "us"), a company registered in Japan.

This document is governed by the laws of Japan and subject to the exclusive jurisdiction of the Tokyo District Court.

1. Privacy Policy
Your use of the Software is also governed by our Privacy Policy available at https://www.tradeon.co/privacy, which forms part of these Terms of Use.

2. General
TRADEON provides a digital commerce platform that enables merchants and users to conduct transactions, manage inventory, sell items, and participate in digital prize draw experiences (including Gacha and Oripa services). Any new features or tools added will also be subject to these Terms.

3. Legal Capacity to Transact
You must be at least 18 years old to use our Software. If you are under 18, parental or guardian consent is required. The Company reserves the right to seek damages from guardians for losses caused by minors acting without authorization.

4. User Conduct and Restrictions
You agree not to use the Software in violation of any applicable law, including but not limited to laws concerning intellectual property, data protection, and consumer rights. See Schedule 1 for prohibited conduct.

5. Account Registration
To access certain features, you must register for an account. You are responsible for maintaining confidentiality of your password and all activities under your account.

6. Payment and Orders
Orders made through our services are processed using authorized payment gateways. All transactions are final except where otherwise required by Japanese consumer law.

7. Delivery and Risk
Delivery is handled through third-party logistics providers. Risk transfers upon delivery to your specified address or designated recipient.

8. Intellectual Property
All trademarks, content, and systems are the property of ASCRE K.K. or its licensors. You may not copy, modify, or redistribute without prior written consent.

9. User Content
Users may submit reviews, comments, or feedback ("User Content"). You grant ASCRE K.K. a perpetual, royalty-free, worldwide license to use, reproduce, or display such content for legitimate business purposes.

Article 10: Gacha and Oripa (Digital Prize Draw) Services
ASCRE K.K. operates digital Gacha and Oripa services in full compliance with Japanese laws and consumer protection regulations, including the Act against Unjustifiable Premiums and Misleading Representations, the Act on Specified Commercial Transactions, and the Consumer Contract Act.

10.1 Fair Play and Legal Compliance
- Guaranteed Prize: Every participant is guaranteed to receive a prize; there is no possibility of a "blank" or receiving nothing.
- Transparency: Prize types, categories, and winning probabilities are transparently displayed before purchase.
- Identity Verification: To purchase or request delivery, users must provide a billing/shipping address, SMS authentication, date of birth, and legal name.

10.2 Product Delivery and Retention
- Users may choose to retain acquired products within the service or request physical delivery subject to the following terms:
- Shipping Deadlines: Users must request delivery via the prescribed procedures by the individually set "Shipping Deadline."
- Automatic Coin Conversion: If a delivery request is not made by the deadline, the product will be automatically converted into digital Coins. Users acknowledge a potential time lag for this conversion.
- Forfeiture of Rights: For "Delivery-Only Products" (not eligible for Coin conversion), failure to request delivery by the deadline results in a total forfeiture of the right to the product.
- Shipping Costs: The Company bears the cost of domestic shipping. International shipping is subject to separate fees based on the destination country.
- Processing Time: Delivery procedures begin once the Company verifies the request is legitimate. In cases of high volume, shipping may be delayed without prior notice.

10.3 Liability and Logistics
- Shipping Incidents: The Company uses appropriate packaging to prevent damage. However, the Company is not liable for issues, damage, or loss occurring during the shipping process once traceability is established.
- Returned Goods: If a product is returned due to refusal of receipt or an unknown address, and the user fails to complete re-shipping, all rights to the product are forfeited without refund.
- Non-Delivery Remedies: If delivery is impossible due to Company error, liability is limited to granting the user the equivalent amount of Coins used to acquire the product. The Company is not obligated to source an identical replacement.
- Information Accuracy: In any discrepancy between a product image and a product name, the Product Name shall take precedence.
- Third-Party Grading: The Company does not guarantee the authenticity of grading results (e.g., PSA/BGS) provided by third parties and bears no responsibility for disputes arising from such results.

10.4 Errors and Suspensions
- The Company reserves the right to cancel transactions, suspend delivery, or request the return of products if:
- A notation error caused a transaction to occur against the Company’s intent.
- The User is found to have violated the Terms of Service.
- The action is deemed fraudulent or incorrect.

11. Limitation of Liability
To the maximum extent permitted by law, ASCRE K.K. shall not be liable for any indirect, incidental, or consequential damages arising from your use of our Software.

12. Governing Law and Jurisdiction
These Terms are governed by the laws of Japan. Any disputes shall be resolved exclusively in the Tokyo District Court.

Schedule 1 – Prohibited Conduct
You agree not to:
- Interfere with or disrupt the Software;
- Use automated systems to collect data;
- Upload unlawful or defamatory materials;
- Infringe on intellectual property or privacy rights;
- Engage in fraudulent or deceptive behavior;
- Violate any applicable Japanese laws or regulations.
